About the role:
Limeade is seeking a Corporate Paralegal/Contracts Administrator to join our Legal department. As an integral part of the legal team, you will help craft the culture of the Legal team and set the standard for legal operations excellence in your department. You will be able to innovate, help build a best-in-class legal team, set processes, and tackle complex and exciting legal challenges. You will work closely with the Vice President of Legal and Corporate Counsel to provide drafting and negotiation support, contract management, develop and maintain legal templates, manage the VPL’s calendar, assist with all legal planning and events, prepare documents for the team and for the board of directors as needed.
Lead legal projects including, but not limited to, preparing and redlining contracts (NDA’s, MSA’s and SaaS agreements), reviewing as-is software agreements, developing, maintaining and utilizing templates, research projects, and contract management
Maintain a file system for legal documentation using Ironclad and act as a legal librarian, ensuring reference materials are current
Continue developing processes to put all relevant departments on notice of their obligations that pertain to each agreement (i.e., data deletion requirement, payment terms, contact and notice provisions etc.)
Interpret, synthesize, and summarize complicated legal documents
Design and implement reporting systems and procedures
Investigate software development issues and assist in the preparation of legal documents to support attorneys and contract administrators
Track manage, and report on Limeade deals with clients and partners
Draft and revise and proof read corporate meeting minutes, internal communications and customer notices under the supervision of the Vice President of Legal
Paralegal with at least 5-7 years of experience
Working knowledge of corporate legal functions and contract negotiations – to include corporate law, employment law, IP development, privacy, and international law
Highly developed written and verbal communication skills
Extraordinary attention to detail and procedure
Approachable demeanor with ability to collaborate cross functionally
Experience in contract administration and legal operations preferred
from accredited university preferred
In-house experience strongly preferred
Experience at a software company preferred
Software sales contract experience preferred
Ironclad experience strongly preferred
